Swiss Re has published its Annual Report 2025 and the official invitation to the company’s 2026 Annual General Meeting (AGM), scheduled for 10 April 2026 in Dübendorf, Switzerland. The report outlines the company’s strategy, financial performance, governance disclosures, and sustainability progress for the year ending 31 December 2025.
The publication also confirms a proposed dividend increase and several governance proposals that shareholders will vote on during the upcoming AGM.
Annual Report 2025 Outlines Performance and Strategy
The Annual Report 2025 presents Swiss Re’s fully audited financial results for the year ending 31 December 2025. It provides a detailed overview of the Group’s strategy, business performance, and risk assessment for the year.
In addition, the report includes the audited consolidated and statutory financial statements of Swiss Re Ltd. It also provides detailed disclosures related to governance and compensation.
For the first time, the Sustainability Report is integrated into the Annual Report. This structure combines financial and nonfinancial disclosures in a single publication. The sustainability section outlines Swiss Re’s sustainability performance in 2025 and describes progress toward the company’s strategic ambitions and targets.
Furthermore, the report includes climate-related disclosures such as the company’s Climate Transition Plan, along with social and governance information.
Board Proposes Higher Dividend
Swiss Re reported a strong capital position. The company estimates its Group Swiss Solvency Test (SST) ratio at 250% as of 1 January 2026.
Based on this capital position and the Group’s results, the Board of Directors has proposed a dividend of USD 8.00 per share for the 2025 financial year. This represents a 9% increase compared with the dividend paid in 2025.
In addition, Swiss Re launched a share buyback programme for 2026. The programme allows the company to repurchase up to USD 1.5 billion of its own shares, including USD 500 million as part of its sustainable annual share buyback programme.
Key Proposals for the 2026 AGM
The Board of Directors included several proposals for shareholder consideration in the invitation to the 2026 AGM.
First, shareholders will vote on the approval of the Annual Report and the annual and consolidated financial statements for 2025. The Board has also proposed a consultative vote on the Sustainability Report 2025.
In addition, the Board proposes the distribution of an ordinary dividend of USD 8.00 per share for the 2025 financial year.
The AGM will also include several board-related proposals. Larry Zimpleman will not stand for re-election, while the Board proposes the re-election of all other current members for a one-year term, including Jacques de Vaucleroy as both Board member and Chairman. The Board has also proposed the election of Jean-Jacques Henchoz as a new member.
Shareholders will also vote on the re-election of the four current members of the Compensation Committee. In addition, the Board seeks approval of the compensation for the Board of Directors and the Group Executive Committee, along with a consultative vote on the 2025 Compensation Report.
Another proposal involves a structural change to the company’s capital structure. The Board proposes converting the share capital currency of Swiss Re Ltd from Swiss francs to US dollars. The company stated that the change would align the capital currency with the currency most relevant to its business activities. As a result, the change would improve efficiency and reduce operational costs.
Following the proposed currency conversion, the Board also proposes renewing the capital band in US dollars.

Swiss Re will hold the 2026 Annual General Meeting at 09:30 CEST on 10 April 2026 in THE HALL in Dübendorf, Switzerland.
